MISCELLANEOUS TERMS IN SUBCONTRACT AGREEMENT
- Save as otherwise expressly stated in this Subcontract the provisions of the Main Contract shall, whenever applicable, apply mutatis mutandis to this Subcontract.
- Nothing herein shall be construed as creating any privity of contract between the SUBCONTRACTOR and the COMPANY.
- No waiver by either Party of any provision of the Subcontract shall be binding unless made expressly and confirmed in writing by the Party granting the waiver. Further, any such waiver if given shall relate only to a specific matter, non-compliance or breach.
- The failure or delay by the CONTRACTOR to enforce or exercise at any times any of the provisions of the Subcontract, or any rights in respect thereto shall in no way be construed to be a waiver of such provisions or rights. The exercise by the CONTRACTOR of any of its rights herein shall not preclude or prejudice the CONTRACTOR from exercising the same or any other right it may have under the Subcontract.
- The Subcontract constitutes the entire agreement and understanding between the Parties with respect to the subject matter herein and the transactions contemplated herein and any and all previous understandings, proposals, negotiations, agreement, commitments and representations, whether oral or written, are merged herein and are superseded hereby.
- Subject to any mandatory provision of any applicable law but without prejudice to any remedies that may be available to the Parties whether prescribed by the Subcontract or otherwise, the rights, obligations and liabilities of the Parties provided in the Subcontract shall be the sole rights, obligation and liabilities of each Party as between the Parties arising out of, under or in connection with the performance of the Subcontract.
- The SUBCONTRACTOR shall comply with the provisions of all legal requirements and any applicable regulations issued by any government authority having relevant jurisdiction during the term of the Subcontract. The SUBCONTRACTOR and its shareholders, officers, directors, agents or employees and any affiliate of the SUBCONTRACTOR shall: (a) use any funds for unlawful contributions, gifts or entertainment; (b) make any direct or indirect unlawful payments to any officer or employee of any government authority, or to any person acting in an official capacity or on behalf of any such government authority; (c) establish or maintain any unlawful or unrecorded funds; or (d) violate or cause the CONTRACTOR or any of its affiliates to be in violation of any provision of all legal requirements. The SUBCONTRACTOR shall indemnify and hold harmless the CONTRACTOR from and against any and all penalties, fines, losses, costs, liabilities and expenses of every kind and description which result from any breach of this Clause 32.6.
